Brazil’s National Electric Energy Agency (ANEEL) has approved the transfer of ownership of the concession for the 393MW Santo Antônio do Jari Hydroelectric Plant to Engie Brasil Energia SA.
The decision was taken during ANEEL’s 9th Deliberative Circuit of 2026 on 9 June and follows a request from the current concession holder, Companhia Energética do Jari SA (CEJA). The hydropower plant is located on the Jari River between the municipalities of Almeirim in Pará state and Laranjal do Jari in Amapá state.
According to ANEEL, the transfer results from a corporate reorganisation in which CEJA was incorporated into Engie Brasil Energia, making Engie the universal successor to CEJA’s rights and obligations under the concession.
The Santo Antônio do Jari project has operated under Generation Concession Contract No. 4/2002-ANEEL since 2002. The concession remains valid until 29 October 2045.
ANEEL noted that the concession agreement expressly permits the transfer of corporate control and concession ownership. To formalise the transaction, the regulator approved an Authorising Resolution together with the sixth amendment to the concession contract.
The project has undergone several ownership changes during the life of the concession. In 2008, 90% of the concession was transferred to ECE Participações SA, while JESA retained a 10% stake. In 2012, JESA’s remaining participation was transferred to ECE Participações, making it the sole concession holder. Ownership was subsequently transferred from ECE Participações to CEJA in 2020 through the fifth amendment to the concession agreement.
